While we strive to provide uninterrupted services, we do not guarantee continuous availability. Maintenance windows, server downtime, or outages may occur from time to time.
- Scheduled Maintenance: We may periodically perform scheduled maintenance. You will be notified in advance, and we aim to minimize any disruptions.
- Unscheduled Downtime: In the event of unplanned server downtime, we will work to restore services as quickly as possible.
3. Client Responsibilities
As a client, you agree to:
- Provide Accurate Information: Ensure all information provided to us is accurate and complete.
- Access and Permissions: Grant necessary access to domain registrars, hosting accounts, and other relevant platforms.
- Compliance: Comply with all applicable laws and regulations in connection with the use of our services.
- Payment: Timely payment of all fees for services rendered.
4. Payment and Billing
- Fees: Our fees for services are outlined in individual service agreements or invoices. All fees are due as per the payment schedule agreed upon.
- Late Payments: Late payments may incur additional charges or penalties. Accounts overdue by 30 days or more may result in the suspension of services.
- Renewals: Certain services (such as hosting, licenses, and maintenance) are billed annually. Renewal invoices will be sent before the end of the current contract period.
5. Intellectual Property
- Client’s Content: You retain ownership of all content you provide for use in your website or application.
- Our Work: Unless otherwise agreed upon, we retain ownership of any intellectual property created during the course of providing services, including website templates, code, designs, and applications. You are granted a non-exclusive, non-transferable license to use our work for the intended purpose as outlined in the project scope.
6. Confidentiality
Both parties agree to keep any confidential information shared during the course of the project private. This includes business practices, customer information, and any sensitive data shared during the provision of services.
7. Limitation of Liability
In no event shall Cloud Web Interface, Corp, its officers, directors, employees, or affiliates be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from:
- The use of, or inability to use, the services.
- Errors, omissions, or other inaccuracies in the provided services.
- Loss of data, business interruptions, or damage to reputation.
Our liability is limited to the amount paid for the service in the previous month.
8. Termination of Services
- Termination by Client: You may terminate services by providing us with at least 30 days’ written notice. If you terminate prior to the end of a billing cycle, no refunds will be issued.
- Termination by Service Provider: We may terminate or suspend services if there is a material breach of these terms or if you fail to make timely payments. We will provide notice prior to termination.
- Data Retention: Upon termination, we will provide you with a copy of all website files, databases, and other relevant materials. We may retain backup copies for a limited time.
9. Data Security and Privacy
We are committed to ensuring the security of your data. We take reasonable precautions to protect your personal and business data from unauthorized access, disclosure, alteration, and destruction. However, we cannot guarantee 100% security and will not be liable for any data loss or breach.
10. Indemnification
You agree to indemnify and hold Cloud Web Interface, Corp harmless from any claims, losses, or damages resulting from your use of our services or any breach of these Terms and Conditions.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws principles. Any disputes will be resolved in the appropriate courts located in Kissimmee, Florida.
